1. Introduction

Welcome to Thiven (“Company”, “we”, “our”, “us”). By accessing or using our website, services, products, or solutions, you (“client”, “user”, “you”) agree to be bound by these Terms & Conditions. If you do not agree, you may not use our services.

Thiven provides IT solutions including but not limited to:

• Website & App Development
• SaaS Solutions
• AI, IoT, and Software Consulting
• Digital Business Solutions

We reserve the right to modify, enhance, or discontinue any service without prior notice.

3. Eligibility

By using our services, you confirm that:

• You are at least 18 years old.
• You have the authority to enter into a binding agreement.
• You will provide accurate and complete information during registration or service engagement.

4. Client Responsibilities

• Provide necessary information, content, and approvals for projects.
• Ensure all materials shared with us do not infringe intellectual property rights.
• Make timely payments as agreed in contracts or invoices.

5. Payments & Refunds

• Payment terms are defined in service agreements or invoices.
• Failure to pay may result in suspension of services.
• Refunds are handled on a case-by-case basis and only for services not rendered.

6. Intellectual Property

• All project deliverables remain the property of Thiven until full payment is received.
• After payment, ownership of custom deliverables (apps, websites, code) will be transferred to the client, unless stated otherwise in agreements.
• Thiven retains rights to reuse general knowledge, frameworks, and non-client specific code.

7. Confidentiality

Both parties agree to maintain confidentiality of sensitive information exchanged during projects. Thiven will not share client data with third parties without consent, except where legally required.

8. Limitation of Liability

• Thiven is not liable for any indirect, incidental, or consequential damages.
• We do not guarantee uninterrupted, error-free, or completely secure services.
• Maximum liability shall not exceed the amount paid by the client for the specific service.

9. Third-Party Services

Some services may integrate third-party tools, APIs, or platforms. Thiven is not responsible for downtime, issues, or policies of third-party providers.

10. Termination

We may suspend or terminate services if:

• You breach these Terms.
• Payments are not made on time.
• Services are used for illegal or harmful activities.

Clients may also terminate services with written notice, subject to contract terms.

11. Governing Law

These Terms & Conditions are governed by the laws of India, without regard to conflict of law principles. Disputes will be subject to the jurisdiction of courts in Bengaluru, Karnataka.

12. Changes to Terms

Thiven reserves the right to update these Terms at any time. Continued use of services after changes indicates acceptance.
